ATTORNEY FEES: In the event it is necessary for COMPANY to retain an attorney to enforce the terms of this agreement, it is agreed that the party prevailing in litigation shall be entitled to recover its reasonable attorney's fees from the other party. CONFIDENTIALITY: As part of COMPANY's service to the Client, COMPANY may learn confidential and/or proprietary information about the Client. COMPANY agrees to keep all such information confidential and not disclose such information to any third party. This confidentiality agreement extends beyond the termination of this Agreement. INTEGRATION: This Agreement contains the entire understanding of the parties hereto relating to the subject matter hereof and cannot be changed or terminated orally.
